SchedSubscription Agreement
This Subscription Agreement is between Schedly PORTAL (a business registered in the United Arab Emirates) and the organisation that subscribes to a paid Schedly plan (the "Organisation"). It applies in addition to, and incorporates, the Organisation Terms of Service. By selecting a paid plan or continuing a paid subscription, the Organisation agrees to this Agreement.
1. Subscription and plan
The Organisation subscribes to the plan it selects in the platform (for example Starter, Club, Academy or a Custom plan). Each plan's features, participant and venue limits, and modules apply as described in the platform and on schedly.ae at the time of purchase. The current plan, price and billing interval shown in your account form part of this Agreement.
2. Fees, VAT and setup
- Subscription fee - the recurring fee for your plan, billed monthly, annually or per term as selected. Annual plans may be offered at a discount.
- VAT - fees are exclusive of VAT unless stated; UAE VAT is added where applicable.
- Setup fee - a one-off setup fee may apply for onboarding a payment gateway other than Stripe Connect, as shown at purchase.
3. Platform commission on customer payments
Where the Organisation collects online payments from its customers through the platform, Schedly charges a platform commission on the amount collected, at the rate for the Organisation's plan:

The commission is separate from, and in addition to, the fees charged by the Organisation's payment provider (for example Stripe). Payments are settled to the Organisation's own account; Schedly does not hold customer funds.
4. Billing, renewal and price changes
Subscription fees are billed in advance for each billing period and are due on the invoice date. The subscription renews automatically for successive periods until cancelled. We may change plan pricing on reasonable prior notice, effective from your next renewal. If you do not accept a price change, you may cancel before it takes effect.
5. Free use and trials
The Starter plan may be used free of charge within its limits. Higher plans may be offered on a free trial; unless you purchase before the trial ends, the account reverts to the free plan and paid features become unavailable. No fee is charged for the free plan.
6. Non-payment and suspension
If a subscription fee is overdue, we may suspend paid features or the account after reasonable notice. Commission owed on collected payments may be invoiced or deducted as agreed. You remain responsible for fees accrued before suspension.
7. Term, cancellation and effect
The subscription continues until cancelled by either party. You may cancel at any time, effective at the end of the current billing period; fees already paid are non-refundable except where required by law. On cancellation or termination, paid features stop and, after a reasonable export window, your data may be deleted in the ordinary course. Downgrading to the free plan applies that plan's limits automatically.
8. Liability
The limitations and disclaimers in the Organisation Terms of Service apply to this Agreement. Schedly's total aggregate liability in connection with the subscription in any 12-month period is limited to the subscription fees paid by the Organisation in that period.
9. Whole agreement and precedence
This Agreement and the Organisation Terms of Service are the whole agreement about the paid subscription. If they conflict on subscription or payment matters, this Agreement prevails.
10. Governing law
This Agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the parties submit to the jurisdiction of the Dubai courts, without prejudice to any applicable free-zone jurisdiction that may apply to Schedly.
